Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "your") and LedgerSnap ("LedgerSnap", "we", "us", or "our") governing your access to and use of the LedgerSnap mobile applications, websites, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity under your account. Notify us promptly at support@ledgersnap.ai of any unauthorized use. You agree to provide accurate information and keep it current.

2. The Service

LedgerSnap helps small business owners capture receipts and income, categorize expenses, track sales and income taxes, log mileage, reconcile transactions, and produce reports and exports. We may add, change, or remove features over time. We strive for high availability but do not guarantee the Service will be uninterrupted or error-free.

3. Subscriptions & payment

Some features require a paid subscription. Subscriptions are sold and billed through the Apple App Store or Google Play, subject to those stores' terms.

• Billing & renewal: Subscriptions automatically renew for the chosen period (e.g. monthly) at the then-current price until cancelled. Your account is charged through your App Store or Google Play account.
• Cancellation: You can cancel anytime through your App Store or Google Play subscription settings. Cancellation takes effect at the end of the current billing period; you keep access until then.
• Price changes: We may change subscription prices. Changes apply to future billing periods, and where required we will give you advance notice and the chance to cancel.
• Refunds: Payments are processed by Apple or Google, and refunds are handled under their policies. Except where required by law, fees are non-refundable.

Plan limits and current prices are shown in the app before you subscribe.

4. Free trials

We may offer a free trial. Unless you cancel before the trial ends, your subscription may begin automatically and the applicable fee may be charged through your app store account. Trial terms are disclosed at sign-up.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, or infringing purpose;
• Upload content you do not have the right to upload, or that is malicious or harmful;
• Attempt to access another user's data, or breach the Service's security or access controls;
• Reverse engineer, decompile, scrape, or copy the Service except as permitted by law;
• Interfere with, overload, or disrupt the Service or its infrastructure;
• Resell, sublicense, or commercially exploit the Service without our written permission;
• Use the Service to develop a competing product.

6. Your content

You retain all ownership of the receipts, documents, financial records, and other content you submit ("Your Content"). You grant LedgerSnap a limited, non-exclusive licence to host, process, and display Your Content solely to operate and provide the Service to you (including processing through the service providers described in our Privacy Policy). You are responsible for the accuracy and legality of Your Content. You may export or delete Your Content at any time as described in our Privacy Policy.

7. Third-party services

The Service integrates optional third-party services, including Google (Gmail and Google Sign-In) and Microsoft (Outlook / 365) for connecting your inbox. Your use of those integrations is also governed by the relevant third party's terms and privacy policies. We are not responsible for third-party services and may modify or discontinue an integration at any time. You may disconnect any integration in the app.

8. Intellectual property

The Service, including its software, design, text, graphics, logos, and the "LedgerSnap" name and marks, is owned by LedgerSnap and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business bookkeeping in accordance with these Terms. No other rights are granted.

9. No professional advice

LedgerSnap provides bookkeeping tools and tax estimates for informational and organizational purposes only. It is not a substitute for professional accounting, tax, legal, or financial advice, and it does not file returns on your behalf. Tax estimates are computed from rate tables that we keep current to the best of our ability, but rules change and errors are possible. You are solely responsible for the accuracy of your records and for your tax filings. Always review your data and consult a qualified accountant or tax professional before filing or relying on any figure.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CALCULATION OR OUTPUT WILL BE COMPLETE OR ACCURATE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERSNAP AND ITS PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TAX PENALTIES OR INTEREST, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU.

12. Indemnification

You agree to indemnify and hold harmless LedgerSnap and its officers, employees, and providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including sections 6, 8–12, and 15) will survive. You can export your data before deleting your account.

14. Changes to the Terms

We may update these Terms from time to time. When changes are material, we will update the "Last updated" date and, where appropriate, notify you in the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law & disputes

These Terms are governed by the laws of the Province of Ontario, Canada (and the federal laws of Canada applicable therein), without regard to conflict-of-laws rules, except where mandatory local consumer-protection law in your jurisdiction applies. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute not subject to such local law. Nothing in these Terms limits any non-waivable statutory rights you have as a consumer.
